These Terms of Service ("Terms") govern your access to and use of the Nior Labs website, products, account services, and related services (collectively, the "Services"). The Services are operated by Nior Labs Research LLC, doing business as Nior Labs ("Nior Labs," "we," "us," or "our").
By accessing the Services, creating an account, or placing an order, you agree to these Terms and our Privacy Policy, Shipping Policy, and Returns & Refunds Policy. If you do not agree, do not use the Services or place an order.
Products sold by Nior Labs are supplied solely for lawful laboratory, analytical, educational, and in vitro research purposes by qualified persons and organizations.
Products are not offered or intended for human or veterinary consumption, self-administration, diagnosis, treatment, mitigation, cure, prevention of disease, clinical use, food use, cosmetic use, or use in medical devices.
Nior Labs is not a pharmacy, medical provider, compounding pharmacy, outsourcing facility, or telehealth provider. Nothing on the Services is medical advice or a recommendation for any human or veterinary use.
To use the Services or purchase products, you represent and warrant that:
We may request identity, age, organization, research-use, payment, or other compliance verification before accepting, processing, or shipping any order. We may reject, limit, hold, or cancel orders that we reasonably believe present fraud, safety, regulatory, payment, or compliance risk.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. Notify us promptly at support@niorlabs.com if you believe your account has been accessed without authorization.
We may suspend or terminate an account for suspected fraud, misuse, inaccurate information, prohibited activity, or violation of these Terms.
An order submitted through the Services is an offer to purchase products. An order is accepted only when Nior Labs confirms acceptance or ships the applicable product.
We may correct pricing, inventory, product-description, or technical errors and may cancel affected orders before shipment. If we cancel a paid order, we will provide a refund or other resolution consistent with applicable law and our Returns & Refunds Policy.
Product availability is not guaranteed. We may limit quantities, discontinue products, or decline to fulfill an order at any time before shipment.
Prices are stated in U.S. dollars unless otherwise noted and may change without notice. You are responsible for applicable taxes, shipping charges, and disclosed fees.
Promotions, coupons, credits, and discounts may have separate terms and may be changed or ended at any time. Promotions have no cash value unless expressly stated otherwise.
You authorize Nior Labs and its approved payment providers to charge the payment method you select for the total amount shown at checkout. Current payment methods may include cryptocurrency via NOWPayments, peer-to-peer fiat via PeerPay, and credit/debit cards when available through an approved processor.
We may use reasonable fraud-prevention and compliance measures, including order review and requests for additional information. We may delay or cancel an order if verification is incomplete or if we identify a reasonable risk of fraud, misuse, or noncompliance.
You must promptly contact us regarding an order concern. Nothing in these Terms limits your rights under applicable law or payment-network rules.
Shipping is governed by our Shipping Policy. We currently ship only to addresses in the United States where receipt and use of the product are lawful.
Delivery estimates are estimates only and are not guarantees. You must inspect an order promptly upon delivery and report an incorrect, damaged, or incomplete shipment under the process and timeframes in our Returns & Refunds Policy.
Returns, refunds, replacements, credits, and cancellations are governed by our Returns & Refunds Policy, which is incorporated into these Terms.
Product descriptions, images, specifications, Certificates of Analysis, safety information, and other documentation are provided for research-reference purposes. They may vary by lot, supplier, packaging, or available documentation.
You are solely responsible for determining whether a product is suitable for your lawful research purpose; for verifying specifications relevant to your work; and for proper storage, handling, use, and disposal.

Nior Labs may refuse any transaction that could violate applicable law, regulation, payment-provider requirements, or internal compliance procedures.
The Services, including their text, design, graphics, trademarks, software, and content, are owned by or licensed to Nior Labs and are protected by applicable intellectual-property laws.
Subject to these Terms, Nior Labs grants you a limited, revocable, non-transferable license to use the Services for their intended purpose. No other rights are granted.
The Services may rely on or link to third-party providers, including payment processors, shipping carriers, hosting providers, analytics providers, and communications services. Nior Labs is not responsible for third-party services, content, availability, or privacy practices. Your use of third-party services may be governed by their own terms and policies.
You agree that Nior Labs may send transactional and service-related communications electronically, including order confirmations, shipping notifications, account notices, and policy updates.
Marketing communications are governed by your marketing preferences and applicable law, as described in our Privacy Policy.
To the fullest extent permitted by law, the Services and products are provided on an "AS IS" and "AS AVAILABLE" basis. Nior Labs disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Nothing in this section excludes any warranty or right that cannot lawfully be excluded.
To the fullest extent permitted by law, Nior Labs will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, data, goodwill, or business interruption.
To the fullest extent permitted by law, Nior Labs' total liability arising from a claim relating to a product or the Services will not exceed the amount paid to Nior Labs for the product or Service giving rise to that claim.
To the fullest extent permitted by law, you agree to indemnify and hold harmless Nior Labs and its officers, members, employees, contractors, and agents from claims, damages, liabilities, and reasonable expenses arising from your unlawful use, misuse, handling, resale, export, or distribution of products; your violation of these Terms; or your violation of applicable law or third-party rights.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Santa Cruz County, California, unless applicable law requires otherwise.
We may update these Terms from time to time. Updated Terms will be posted with a revised Effective Date. Continued use of the Services after the updated Terms take effect constitutes acceptance to the extent permitted by law.
These Terms, together with the referenced policies, are the entire agreement between you and Nior Labs regarding the Services.
If any provision is unenforceable, the remaining provisions remain in effect. Nior Labs' failure to enforce a provision is not a waiver of future enforcement. You may not assign your rights under these Terms without our written consent. Nior Labs may assign these Terms in connection with a merger, acquisition, restructuring, or asset transfer.
